Mizuho Financial Group Completes US$6.6 Billion Notes Offering

Simpson Thacher represented Japan’s Mizuho Financial Group, Inc. (“MHFG”) in connection with its US$6.6 billion offering of senior notes, consisting of US$1.65 billion of 4.782% Senior Callable Fixed-to-Fixed Reset Rate Notes due 2030, US$1.25 billion of 4.965% Senior Callable Fixed-to-Fixed Reset Rate Notes due 2032, US$1 billion of 5.337% Senior Callable Fixed-to-Fixed Reset Rate Notes due 2037, US$1 billion of 5.824% Senior Callable Fixed-to-Fixed Reset Rate Notes due 2047, US$700 million of Senior Callable Floating Rate Notes due 2030 and US$1 billion of Senior Callable Floating Rate Notes due 2032.

The offering was made pursuant to MHFG’s shelf registration statement on Form F-3 under the Securities Act. Mizuho Securities USA LLC, Lloyds Securities Inc., Natixis Securities Americas LLC, Standard Chartered Bank and TD Securities (USA) LLC were the representatives of the underwriters for the offering.

MHFG is a Japanese bank holding company that is the ultimate parent company of the Mizuho Group, one of the largest financial institution groups in the world.
