For over 20 years, the Firm has developed and maintained an active practice advising national and local governments, sovereign wealth funds and other sovereign and quasi-sovereign entities across the globe on their most important matters, from sovereign debt and other securities offerings to sensitive litigation and arbitration matters. We also advise our private equity clients with transactions across a broad range of industries when CFIUS or antitrust concerns arise in connection with sovereign wealth funds and other types of foreign co-investors.

Our engagements have included:

  • KfW, the development bank owned by Germany, in multiple debt offerings valued at over US$580 billion since 2011
  • The Republic of Peru in its sovereign bonds and related transactions, totaling over US$27 billion in sovereign debt offerings since 2010
  • The Republic of Guatemala in multiple sovereign debt offerings, approved by the government of the Republic of Guatemala and managed by the Ministry of Finance, totaling US$6.6 billion since 2016
  • Initial purchasers in sovereign debt offerings by the Republic of Chile (totaling more than US$4.2 billion), two floating rate bond issuances and in the restructuring of the Republic’s sovereign debt
  • KKR and BlackRock in the financing related to their pipeline infrastructure deal with the Abu Dhabi National Oil Company (ADNOC) for approximately US$4 billion
  • Silver Lake in the establishment of a new long-term investment strategy, led by Silver Lake and supported by a US$2 billion investment by Mubadala Investment Company, as well as in Mubadala’s acquisition of a minority equity interest in Silver Lake from Dyal Capital Partners through a secondary transaction
  • Aluminum Corporation of China (Chinalco) in its US$14 billion acquisition of a minority stake in Rio Tinto, the largest foreign investment by a Chinese entity
  • The U.S. Department of Treasury in the structuring and implementation of TARP
  • Temasek in a going-private transaction involving AsiaInfo-Linkage Inc.
  • Issuer or underwriters in over 26 sovereign debt offerings by the Dominican Republic, totaling over US$36.5 billion since 2006
  • Nafin, a development bank owned by the Mexican government, in multiple debt offerings, including a “green bond” offering
  • Managers in multiple liability management matters and debt offerings by Comisión Federal de Electricidad (Federal Electricity Commission) of Mexico, including more than US$13 billion in debt offerings since 2011
  • Bancomext, owned by the Mexican government, in notes offerings and an offering of Subordinated Preferred Capital Notes, totaling US$2.2 billion since 2015
  • Initial purchasers in multiple sovereign debt offerings by the Republic of Bermuda, totaling nearly US$5 billion since 2010
  • Agua y Saneamientos Argentinos S.A. in contract and tort litigation in New York Federal Court
